Welcome to Virgo Digital Agency (Pty) Ltd, trading as Virgo Digital Agency, Virgo, and through various digital platforms, products and services operated by us (“Virgo”, “we”, “us” or “our”).
These Terms of Use and Service (“Terms”) govern your access to and use of our websites, applications, software platforms, digital products, subscriptions, event management services, ticketing services, hosting services, agency services and other products or services operated or supplied by Virgo.
These Terms apply to Virgo’s websites, applications, subdomains, platforms and services, including, where applicable, Virgo Digital Agency, Event Schedule, Virgo Social, Traveljoint, Virgo Home & Living, Virgo Music and other Virgo-operated services, platforms and brands.
Individual Virgo products or services may have additional product-specific terms, policies, order forms, quotations or agreements. Where product-specific terms apply, they form part of these Terms. If there is a direct conflict, the product-specific terms will apply to that particular product or service to the extent of the conflict.
By accessing a Virgo website, creating an account, purchasing a product or service, subscribing to a service, registering for an event, purchasing a ticket, or otherwise using our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the applicable Service.
Our Privacy Policy, DMCA/Copyright Policy, applicable refund policies and other policies referenced in these Terms form part of your agreement with us.
1. DEFINITIONS
For purposes of these Terms:
“Virgo”, “we”, “us” or “our” means Virgo Digital Agency (Pty) Ltd and, where appropriate, the platforms and services operated by it.
“Services” means websites, software, platforms, subscriptions, digital services, professional services and other products or services provided or operated by Virgo.
“Platform” means any website, application or online system operated by Virgo.
“User” or “you” means any person or entity accessing or using our Services.
“Account Holder” means a person or organisation that creates or controls an account on a Virgo Platform.
For Event Schedule, Account Holders may include artists, talent, venues, event planners, organisers, promoters, hosts, curators, service providers or other persons using the Platform to create, publish or manage events.
“Event Organiser” means any person, business, artist, venue, event planner, promoter or other Account Holder who creates, promotes, manages, sells tickets to or otherwise operates an event using Event Schedule.
“Attendee” or “Guest” means a person who views, registers for, RSVPs to, books or purchases admission to an event.
“Content” means text, images, photographs, graphics, videos, audio, event information, documents, data and other material uploaded, submitted, created or displayed through our Services.
2. ELIGIBILITY
You must have the legal capacity to enter into a binding agreement to use Services requiring an account or contractual relationship.
Unless a particular Service expressly permits otherwise, you must be at least 18 years old to create a commercial account, sell products or services, create paid events, receive payments or enter into agreements through our Platforms.
By using our Services, you represent that:

the information you provide is accurate and lawful;

you are legally permitted to use the Service;

you have not been prohibited or suspended from using the applicable Service unless Virgo has authorised your return; and
-
your use of the Service complies with applicable laws and regulations.
If you use a Service on behalf of a company, organisation or other legal entity, you represent that you have authority to bind that entity to these Terms.
3. USER ACCOUNTS AND REGISTRATION
Certain Services require an account.
You agree to provide accurate, current and complete information and to update that information where necessary.
You are responsible for maintaining the confidentiality and security of your account credentials.
You are responsible for activities performed through your account unless such activity resulted from circumstances for which you cannot lawfully be held responsible.
You must notify Virgo promptly if you reasonably believe that your account has been compromised or accessed without authorisation.
You may not impersonate another person or organisation, create an account using false or misleading information, or access another person’s account without permission.
Virgo may suspend, restrict or terminate accounts where reasonably necessary to protect our Services, Users, third parties or Virgo, or where these Terms or applicable law have been violated.
4. ACCEPTABLE USE AND USER CONDUCT
You agree to use our Services lawfully and responsibly.
You may not use a Virgo Service to:

engage in fraud, deception, phishing, scams or other unlawful conduct;

harass, threaten, intimidate or abuse another person;
-
publish unlawful, defamatory or unlawfully discriminatory material;
-
distribute malware, viruses, malicious scripts or harmful code;
-
interfere with or attempt to circumvent the security or operation of our Services;
-
gain unauthorised access to accounts, networks, databases or systems;
-
send unlawful spam or unsolicited communications;
-
infringe copyright, trademark, privacy, publicity or other intellectual property rights;
-
scrape, harvest or collect personal information unlawfully;
-
use automated systems in a manner that places unreasonable load on our infrastructure;
-
reverse engineer or attempt to obtain source code except where expressly permitted by applicable law;
-
use our Services for activities prohibited by applicable law; or
-
assist another person in carrying out prohibited activities.
Virgo may investigate suspected violations and take reasonable action, including restricting Content, suspending accounts or terminating access.
5. USER CONTENT AND OWNERSHIP
You retain ownership of Content that you create and upload to Virgo Services.
You are responsible for ensuring that you have the necessary rights, licences, permissions and lawful basis to upload and use your Content.
By uploading Content, you grant Virgo a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit and display that Content only to the extent reasonably necessary to operate, provide, secure, improve and support the applicable Service, or as otherwise authorised by you.
This licence does not transfer ownership of your Content to Virgo.
You may not upload Content that infringes another person’s intellectual property, privacy or other legal rights.
Virgo may remove or restrict Content where we reasonably believe that it violates these Terms, applicable law or the rights of another person.
6. CUSTOMER AND ACCOUNT DATA
Except where otherwise stated in a product-specific agreement, the Account Holder retains ownership of data generated or uploaded through their account.
Virgo does not claim ownership of an Account Holder’s customer lists, event attendee databases, business records or proprietary account data.
Virgo may access, process, store, transmit, back up and otherwise handle account data where reasonably necessary to:

provide the requested Service;
-
provide technical support;
-
maintain security and prevent fraud;
-
process payments or transactions;
-
comply with legal obligations;
-
investigate abuse or security incidents;
-
maintain backups and business continuity; or
-
perform other processing described in our Privacy Policy or authorised by the User.
Virgo will process personal information in accordance with applicable data-protection law and our Privacy Policy.
7. PRIVACY AND PROTECTION OF PERSONAL INFORMATION
Personal information processed through our Services is governed by our Privacy Policy and applicable data-protection legislation, including the Protection of Personal Information Act 4 of 2013 (“POPIA”), where applicable.
Depending on the Service and circumstances, Virgo may act as a responsible party, operator or other legally recognised data-processing participant.
Users operating businesses, events or services through Virgo Platforms remain responsible for their own legal obligations relating to personal information that they collect or process.
Event Organisers are particularly responsible for ensuring that attendee information collected through their events is processed lawfully and used only for appropriate purposes.
We may use aggregated or appropriately de-identified information for analytics, security, service development, performance monitoring and business intelligence where permitted by law.

8. INTELLECTUAL PROPERTY
Except for User Content and third-party material, Virgo owns or licenses the software, branding, interfaces, graphics, databases, website designs, documentation, trademarks and other intellectual property comprising our Services.
Nothing in these Terms transfers ownership of Virgo’s intellectual property to you.
Virgo grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Services for their intended purpose, subject to these Terms.
You may not reproduce, sell, redistribute, modify or commercially exploit Virgo intellectual property without our written permission, except where applicable law expressly permits such use.
9. COPYRIGHT AND INTELLECTUAL PROPERTY COMPLAINTS
Virgo respects intellectual property rights.
If you believe Content hosted through one of our Services infringes your copyright or other intellectual property rights, you may submit a complaint through the procedure described in our DMCA/Copyright Policy.
Virgo may remove allegedly infringing material and may suspend or terminate accounts involved in repeated or serious infringement where appropriate.
10. THIRD-PARTY SERVICES AND INTEGRATIONS
Virgo Services may integrate with or contain links to third-party services, including payment gateways, artificial intelligence providers, cloud infrastructure providers, email providers, social networks, analytics services, mapping services and other external platforms.
Third-party services operate under their own terms and privacy policies.
Virgo does not control and is not responsible for the availability, security, policies, content or independent actions of third-party services.
Where a third-party service changes, suspends or terminates an API, integration or functionality, related Virgo functionality may also be affected.
We may replace, modify or discontinue integrations where reasonably necessary.
11. ARTIFICIAL INTELLIGENCE AND AUTOMATED FEATURES
Certain Virgo Services may include artificial intelligence (“AI”), machine-learning or automated features.
AI-generated outputs may contain errors, omissions, inaccuracies or inappropriate suggestions.
Users remain responsible for reviewing AI-generated material before publishing, distributing or relying upon it.
Unless expressly agreed otherwise in writing, AI-generated output does not constitute legal, financial, medical, accounting or other regulated professional advice.
Virgo does not guarantee that AI-generated Content will be unique, accurate, complete or suitable for a particular purpose.
Your use of third-party AI models may additionally be subject to the applicable provider’s terms.
EVENT SCHEDULE SPECIFIC TERMS
The following provisions apply specifically where you use Event Schedule.
12. EVENT ORGANISER RESPONSIBILITIES
Event Schedule provides technology that allows Event Organisers to create, publish and manage events, registrations, RSVPs, schedules, ticketing and related functionality.
Unless expressly stated otherwise, Virgo/Event Schedule is the technology platform provider and is not the organiser, promoter, producer or operator of events created by independent Event Organisers.
The Event Organiser is solely responsible for:

the legality and accuracy of the event;
-
event descriptions, dates, times and venues;
-
obtaining required licences, permits and permissions;
-
venue agreements;
-
performer and supplier agreements;
-
event safety and security;
-
accessibility obligations applicable to the event;
-
capacity restrictions;
-
customer service relating to the event;
-
taxes and statutory obligations relating to ticket sales;
-
cancellation or postponement decisions;
-
refunds owed to Attendees;
-
delivery of advertised goods, services or experiences; and
-
compliance with applicable consumer, advertising, privacy and other laws.
An Event Organiser must not represent itself as Virgo, Event Schedule or an employee or agent of Virgo unless expressly authorised in writing.
13. EVENT INFORMATION
Event Organisers are responsible for ensuring that event information is accurate and not misleading.
Virgo does not independently verify every event, venue, performer, organiser, ticket, description or claim submitted to Event Schedule.
We may remove, suspend or restrict an event where we reasonably suspect fraud, illegality, intellectual-property infringement, safety concerns or violation of these Terms.
14. TICKETS, RSVPs AND REGISTRATIONS
Event Schedule may provide functionality allowing Event Organisers to issue tickets, accept registrations or manage RSVPs.
Unless expressly stated otherwise during checkout, the transaction relating to attendance at an independently organised event is between the Attendee and the Event Organiser.
Event Schedule provides technology facilitating that transaction.
Ticket availability, event capacity, admission requirements and event fulfilment remain the responsibility of the Event Organiser.
Attendees are responsible for providing accurate registration information and complying with reasonable event rules established by the Event Organiser.
15. EVENT PAYMENTS
Where Event Schedule enables payment functionality, payments may be processed by third-party payment service providers.
Payment processing may therefore be subject to additional terms imposed by those providers.
Virgo may charge platform, subscription, transaction or other disclosed fees for use of Event Schedule.
Unless otherwise required by law, Event Organisers remain responsible for taxes, refunds, disputes and obligations arising from their sales.
Virgo may reasonably delay, restrict or suspend payment-related functionality where fraud, chargebacks, unlawful transactions, security concerns or payment-provider restrictions are identified.
16. EVENT REFUNDS, CANCELLATIONS AND POSTPONEMENTS
Unless Event Schedule expressly identifies Virgo as the seller or event organiser, refund requests relating to event tickets must be directed to the relevant Event Organiser.
The Event Organiser is responsible for establishing and communicating its cancellation and refund policies, subject to applicable law.
Event Schedule does not ordinarily determine whether an independently operated event should be cancelled, postponed or refunded.
Nothing in this section removes any rights that an Attendee may have under applicable consumer law.
17. EVENT CHARGEBACKS AND PAYMENT DISPUTES
Event Organisers are responsible for legitimate chargebacks, payment disputes, reversals, refunds and associated payment-provider charges arising from their transactions, except where applicable law or a separate written agreement provides otherwise.
Virgo may provide relevant transaction records to payment processors, banks or other authorised parties for purposes of responding to disputes, preventing fraud or complying with legal obligations.
Fraudulent use of the chargeback process or deliberate attempts to avoid legitimate payment obligations may result in account restrictions or termination.
18. EVENT CUSTOMER SERVICE
Event Organisers are responsible for customer support concerning their own events, including questions relating to:

admission;
-
venues;
-
event times;
-
cancellations;
-
refunds;
-
performers;
-
accessibility;
-
event policies; and
-
goods or services offered at an event.
Event Schedule provides technical support relating to the operation of the Event Schedule Platform.
19. EVENT SAFETY
Virgo does not control independently operated venues or events and cannot guarantee the safety, suitability or accessibility of an event.
Event Organisers are responsible for implementing appropriate safety, security, emergency and crowd-management measures.
Attendees participate in events subject to the ordinary risks associated with the particular event or venue.
Nothing in these Terms excludes liability where such liability cannot lawfully be excluded.
PAYMENTS, SUBSCRIPTIONS AND COMMERCIAL SERVICES
20. FEES AND PAYMENT
Prices and applicable fees will be displayed on the relevant Service, quotation, invoice, checkout page or subscription page.
You agree to pay charges that you authorise.
Unless otherwise indicated, prices are stated in the currency displayed at checkout or on the applicable invoice or quotation.
Virgo may change prices prospectively. Price changes do not retrospectively alter amounts already properly paid or invoiced unless otherwise agreed.
21. SUBSCRIPTIONS
Certain Virgo Services operate on a recurring subscription basis.
The applicable billing period, price and included features will be displayed when you subscribe.
Where recurring billing is enabled and lawfully authorised, your subscription may renew for successive billing periods until cancelled.
You are responsible for cancelling a subscription before the next applicable billing date if you do not wish it to renew.
Cancellation stops future renewals but does not automatically create a right to a refund for a billing period already commenced, subject always to rights provided by applicable law.
22. FREE PLANS AND TRIALS
Some Virgo platforms provide free plans, trials or limited free functionality.
Free access may have restrictions on features, storage, usage, events, transactions, users or other functionality.
Virgo may modify or discontinue free offerings on reasonable notice where appropriate.
Creating multiple accounts or otherwise circumventing limitations imposed on a free plan is prohibited.
23. REFUNDS AND CANCELLATIONS
Refund rights vary according to the Service purchased and applicable law.
For eligible general digital or agency services, where a cancellation is requested within 24 hours after purchase or confirmation of the Service, Virgo’s standard commercial policy is to refund 75% of the amount paid, subject to applicable law and provided work, third-party purchases or non-refundable commitments have not already materially commenced or been incurred.
After that period, refund requests may be considered on a case-by-case basis.
Amounts already paid to third parties, domain registration costs, licence fees, transaction charges, commissioned work already performed and other irrecoverable costs may be non-refundable where permitted by law and appropriately disclosed.
Digital Platform Subscriptions
Unless required otherwise by applicable law, paid subscription periods for digital SaaS platforms including Virgo Social, Traveljoint and Event Schedule are generally non-refundable once the applicable paid subscription period has commenced.
Where a free plan or trial is available, Users are encouraged to evaluate the Service before upgrading.
Event Schedule Tickets
Event Schedule is a ticketing, RSVP and event-management technology platform.
Refunds relating to tickets sold by independent artists, venues, promoters or Event Organisers must ordinarily be requested from the applicable Event Organiser.
Virgo/Event Schedule does not ordinarily issue ticket refunds on behalf of independent Event Organisers.
B2B Services
Certain Virgo Services are supplied to businesses that subsequently provide products or services to their own customers.
Unless Virgo is directly responsible under applicable law or a separate agreement, disputes and refunds between those businesses and their customers remain the responsibility of those parties.
Virgo Home & Living
Products purchased through Virgo Home & Living are subject to the applicable Return Policy, together with any rights available under applicable consumer law.
Nothing in this section is intended to waive or limit a statutory right that cannot lawfully be waived or limited.
24. DOMAIN NAMES, HOSTING AND THIRD-PARTY PURCHASES
Where Virgo registers domains, purchases licences, obtains hosting resources or acquires other third-party products on a client’s behalf, those products may be subject to the provider’s own terms.
Domain registration and renewal fees are generally non-refundable once a domain has been successfully registered or renewed because the registration is committed through a third-party registry.
Users are responsible for ensuring that domain registration information supplied to Virgo is accurate.
Virgo cannot guarantee that a requested domain will remain available until registration has successfully completed.
25. PROFESSIONAL AND AGENCY SERVICES
Website development, design, consulting, event support, custom development, marketing, hosting and other professional services may be governed by a quotation, proposal, statement of work or separate agreement.
The applicable quotation or agreement may specify:
-
project scope;
-
deliverables;
-
payment milestones;
-
timelines;
-
client responsibilities;
-
revision limits;
-
maintenance;
-
intellectual-property arrangements; and
-
cancellation terms.
Where such an agreement conflicts with these general Terms regarding a specific project, the specific written agreement will prevail for that project.
PLATFORM OPERATION AND LEGAL PROVISIONS
26. SERVICE AVAILABILITY
Virgo aims to provide reliable Services but does not guarantee uninterrupted or error-free operation.
Services may occasionally be unavailable because of:

maintenance;
-
upgrades;
-
internet or network failures;
-
hosting-provider failures;
-
cyber incidents;
-
power interruptions;
-
third-party outages;
-
API failures;
-
payment-provider interruptions; or
-
circumstances outside Virgo’s reasonable control.
Virgo may modify, maintain, update or replace portions of a Service where reasonably necessary.
27. BACKUPS AND DATA LOSS
Where a Service includes backups, Virgo will take reasonable measures appropriate to the Service but does not guarantee that every item of data can always be recovered.
Unless a specific backup service or service-level agreement provides otherwise, Users should maintain independent copies of business-critical information.
Virgo is not responsible for data loss caused by a User’s own deletion, unauthorised third-party access outside Virgo’s reasonable control, unsupported modifications or third-party systems, except to the extent liability cannot lawfully be excluded.
28. SECURITY
Virgo takes reasonable technical and organisational measures to protect its systems and personal information.
No internet-based service can guarantee absolute security.
Users must take reasonable precautions to secure their own accounts, devices, passwords, API credentials and connected third-party services.
You must not attempt to test, probe, circumvent or compromise the security of a Virgo Service without our prior written authorisation.
29. THIRD-PARTY LINKS AND ADVERTISING
Our Services may display links, advertisements or references to third-party websites, products or services.
A link or advertisement does not necessarily constitute Virgo’s endorsement of the third party.
Your dealings with a third party are governed by your agreement with that third party.
30. DISCLAIMER OF WARRANTIES
IMPORTANT: THIS SECTION LIMITS CERTAIN RESPONSIBILITIES OF VIRGO AND SHOULD BE READ CAREFULLY.
To the maximum extent permitted by applicable law, Virgo Services are provided on an “as is” and “as available” basis.
Virgo does not warrant that:
-
every Service will operate without interruption;
-
every error will be corrected immediately;
-
all information supplied by Users or third parties is accurate;
-
third-party integrations will remain available indefinitely;
-
a Service will satisfy every User’s particular business requirements; or
-
use of a Service will produce a particular commercial, financial, marketing or other outcome.
Nothing in these Terms excludes statutory warranties, guarantees or consumer rights that cannot lawfully be excluded.
31. LIMITATION OF LIABILITY
IMPORTANT: THIS SECTION LIMITS VIRGO’S POTENTIAL LIABILITY AND SHOULD BE READ CAREFULLY.
To the maximum extent permitted by applicable law, Virgo, its directors, employees, contractors and affiliates will not be liable for indirect, incidental, special or consequential loss arising from use of or inability to use the Services, including loss of profits, revenue, anticipated savings, business opportunity or data.
Virgo is not responsible for the independent conduct of Event Organisers, Attendees, customers, advertisers, payment providers, hosting companies or other third parties.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.
In particular, these Terms do not purport to exclude liability for conduct or circumstances for which liability cannot lawfully be excluded under applicable South African law.
32. INDEMNITY
IMPORTANT: THIS SECTION MAY REQUIRE CERTAIN USERS TO ACCEPT RESPONSIBILITY FOR CLAIMS CAUSED BY THEIR OWN CONDUCT.
To the extent permitted by applicable law, you agree to indemnify Virgo against third-party claims, losses, liabilities and reasonable costs arising directly from:
-
Content you unlawfully upload or distribute;
-
your infringement of another person’s intellectual property rights;
-
an event, product or service that you independently organise, sell or provide;
-
your unlawful processing of personal information;
-
fraud or intentional misconduct by you; or
-
a material breach of these Terms by you.
This indemnity does not apply to losses caused by Virgo to the extent that Virgo is legally responsible for those losses.
33. FORCE MAJEURE
Virgo will not be responsible for delay or failure to perform an obligation where performance is prevented by circumstances reasonably beyond our control, including natural disasters, severe weather, fire, flood, epidemic or pandemic restrictions, war, civil unrest, government action, widespread telecommunications failure, power-grid failure, major cloud-service outages or similar events.
This clause does not affect obligations or consumer rights that cannot lawfully be excluded.
34. SUSPENSION AND TERMINATION
Virgo may suspend or terminate access to a Service where reasonably necessary because of:
-
material breach of these Terms;
-
non-payment;
-
fraud or suspected fraud;
-
unlawful conduct;
-
security threats;
-
abuse of the Service;
-
infringement of third-party rights;
-
legal or regulatory requirements; or
-
conduct that materially threatens Virgo, its infrastructure, Users or third parties.
Where reasonably possible and appropriate, we may provide notice or an opportunity to remedy a breach before termination.
Serious fraud, security threats, unlawful conduct or other urgent circumstances may require immediate action.
Users may stop using our Services at any time and may cancel subscriptions according to the applicable cancellation procedure.
Termination does not eliminate payment obligations or liabilities that arose before termination.
35. ELECTRONIC COMMUNICATIONS
You agree that Virgo may communicate with you electronically regarding your account, transactions, security, invoices, subscriptions, legal notices and Service-related matters.
Electronic communications may include email, account notifications, dashboard messages or other electronic methods.
Where applicable law requires consent for marketing communications, marketing will be handled in accordance with those requirements and our Privacy Policy.
36. ELECTRONIC TRANSACTIONS
Transactions entered into electronically through Virgo Services may constitute legally binding agreements where the requirements of applicable law are satisfied.
Users are responsible for reviewing transaction information before confirming purchases, subscriptions, registrations or other electronic transactions.
Virgo may retain electronic records of transactions where legally permitted or required.
37. COMPLIANCE WITH LAW
You are responsible for complying with laws applicable to your use of our Services.
Depending on the circumstances, applicable South African legislation may include legislation concerning consumer protection, electronic communications and transactions, protection of personal information, intellectual property, taxation and other regulatory obligations.
Where our Services are accessed from another jurisdiction, the User is also responsible for compliance with applicable local laws to the extent those laws lawfully apply.
You may not use Virgo Services where such use would cause Virgo to violate applicable sanctions, trade restrictions or other binding legal obligations.
38. CONSUMER RIGHTS
Nothing in these Terms is intended to exclude, waive or restrict rights granted to a consumer that cannot lawfully be excluded, waived or restricted.
Where the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, or another applicable law provides mandatory rights or remedies, those rights remain applicable notwithstanding anything inconsistent in these Terms.
Where a provision of these Terms conflicts with a mandatory statutory consumer protection, the statutory protection will prevail to the extent of the conflict.
39. BUSINESS-TO-BUSINESS SERVICES
Certain Virgo Services are supplied primarily or exclusively to businesses.
Where a Service is purchased by a business, organisation or professional for commercial purposes, additional B2B terms contained in a quotation, proposal, service agreement, licence agreement or statement of work may apply.
Nothing in these Terms creates contractual rights for customers of a Virgo business client unless applicable law or a separate agreement expressly provides otherwise.
40. CHANGES TO SERVICES
Virgo may update, improve, replace or discontinue features of a Service.
We will endeavour to provide reasonable notice where a material change substantially affects a paid Service, except where immediate changes are reasonably required for security, legal compliance, third-party platform changes or urgent technical reasons.
The availability of a particular feature at one point in time does not guarantee that the feature will remain available indefinitely.
41. CHANGES TO THESE TERMS
Virgo may update these Terms from time to time.
Where changes are material, we may provide notice through the relevant website, Platform, account dashboard, email or another reasonable method.
Unless a different period is required by applicable law, updated Terms will become effective on the date stated in the updated version.
Continued use of a Service after the updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.
If you do not accept a material change, you should discontinue use of the affected Service and cancel any applicable subscription in accordance with its cancellation terms.
42. DISPUTE RESOLUTION
If a dispute arises between you and Virgo, we encourage you to contact us first so that the matter can be investigated and, where possible, resolved without formal proceedings.
Nothing in this section prevents either party from seeking urgent legal relief where appropriate or exercising statutory rights available under South African law.
Where a dispute cannot be resolved informally, either party may pursue remedies available under applicable law through a competent court or applicable regulatory or dispute-resolution body.
43. GOVERNING LAW AND JURISDICTION
These Terms and any dispute arising from them are governed by the laws of the Republic of South Africa, without prejudice to any mandatory rights that may apply to a consumer under applicable law.
Subject to any mandatory statutory jurisdiction or dispute-resolution rights, disputes that require court proceedings will be submitted to a court of competent jurisdiction in the Republic of South Africa.
44. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where legally possible.
If it cannot be made enforceable, it will be severed without affecting the remaining provisions of these Terms.
45. NO WAIVER
If Virgo does not immediately enforce a provision of these Terms, this does not mean that Virgo has waived the right to enforce that provision later.
A waiver is effective only to the extent expressly granted.
46. ASSIGNMENT
You may not transfer your contractual rights or obligations under these Terms to another person without Virgo’s consent where such consent is legally required.
Virgo may transfer or assign its rights and obligations as part of a lawful restructuring, merger, sale of business or transfer of a Service, subject to applicable law and without diminishing mandatory consumer rights.
47. NO PARTNERSHIP OR AGENCY
Unless expressly agreed in writing, use of a Virgo Service does not create an employment, partnership, joint venture, franchise or agency relationship between Virgo and a User.
In particular, independent Event Organisers using Event Schedule are not employees, agents or representatives of Virgo.
48. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, applicable product-specific terms, accepted quotations, order forms and other policies expressly incorporated into them, constitute the agreement between you and Virgo regarding the applicable Service.
They supersede previous general terms concerning the same subject matter, except for separate written agreements that expressly remain in force.

Section headings are provided for convenience and readability and do not alter the legal interpretation of these Terms.

52. ACCEPTANCE OF TERMS
By creating an account, subscribing, making a purchase, submitting an event, selling or obtaining a ticket, using a Virgo Platform or otherwise accessing our Services, you acknowledge that you have had an opportunity to read these Terms and agree to be bound by them.
Where you act on behalf of a company, organisation, venue, artist, event organiser or other legal entity, you confirm that you are authorised to accept these Terms on that entity’s behalf.
